Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of TwelveAgents (the "App," "Services," "we," "us," or "our"). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.


1. Eligibility

You must be at least 18 years old, or the minimum age required to consent to use the Services in your jurisdiction, whichever is higher. By creating an account or otherwise using the Services, you represent and warrant that you meet this requirement.

TwelveAgents does not knowingly permit use of the Services by anyone under this age. We reserve the right to request age verification, and to suspend or terminate any account where we reasonably believe this requirement has not been met.


2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for activity occurring under your account.

You are responsible for providing accurate information and maintaining the security of your account credentials. You should notify us promptly if you suspect unauthorized access to or use of your account.

Account authentication and related authentication functions are provided through the authentication infrastructure configured for TwelveAgents, which currently includes Amazon Cognito. Authentication credentials are handled through the applicable authentication infrastructure, and TwelveAgents does not store account passwords in plain text.

In addition to standard account credentials, you may create or access your account using Sign in with Google or Sign in with Apple. Where you choose one of these methods, the applicable provider handles authentication of your identity, and TwelveAgents receives only the account information necessary to create and manage your TwelveAgents account.

TwelveAgents uses information received through these sign-in methods solely for account authentication and management. Information that is not required for these purposes is not intentionally retained by TwelveAgents.

TwelveAgents may support additional authentication methods in the future, including further integrated identity providers. Where such authentication methods are introduced, the applicable provider may process information in accordance with its own privacy policy and terms.

You remain responsible for protecting your account credentials and for ensuring that information used to access your account remains accurate and secure.


3. The Service

TwelveAgents provides a unified AI orchestration environment containing specialized AI agents, configurable tools, integrated AI models and services, storage, execution environments, media-processing capabilities, and multi-step workflow functionality.

Each agent operates with its own defined persona and system-level instructions while sharing the TwelveAgents orchestration environment. Agents may use different underlying AI models, referred to within the Services as an Agent Brain.

Features may include:

Tools are not necessarily enabled for every agent by default. All tools available to the platform may be made available to an agent where supported. You remain in control of which optional tools are enabled or disabled.

If an agent determines that an available but disabled tool would materially help complete a request, the agent may inform you and suggest enabling it. You decide whether to enable the tool.

The Services may coordinate multiple AI models, tools, files, and external services within a single workflow. Results from one operation may be passed to subsequent operations where necessary to complete the requested task.

We may add, modify, suspend, or remove agents, tools, models, providers, or features from time to time. Where required by applicable law, we will provide appropriate notice of material changes.

3A. Our Role as an AI Orchestrator

TwelveAgents does not currently develop or train the underlying Agent Brains made available through the Services. TwelveAgents' role is to provide the orchestration layer — the interface, workflow logic, tool configuration, and routing — through which you access AI models and services operated by independent, integrated providers.

You acknowledge that:

This section does not limit TwelveAgents' own obligations regarding the systems, processes, and safeguards described elsewhere in these Terms, including Section 6A, nor does it exclude liability that cannot lawfully be excluded under applicable law.


4. Agent Brains and AI Models

Each agent may use an underlying AI model from an integrated AI model provider as its Agent Brain.

You may switch the Agent Brain at any time, including during an active conversation, subject to model availability and applicable limits.

Switching an Agent Brain does not necessarily create a new conversation. Where supported, the existing conversation, selected context, files, workflow state, and other relevant information may continue to be available to the newly selected model.

Different Agent Brains may provide different levels of speed, reasoning capability, generation quality, modality support, or cost.

The availability, performance, capabilities, and pricing of individual Agent Brains may change based on provider availability, model versions, technical requirements, and operating costs.

The applicable cost, where applicable, is displayed before a chargeable request is submitted.


5. Credits & Payments

Credit-Based Purchases

The Services use a consumable credit system. Credits may be purchased in fixed packs through the applicable platform store, including the Apple App Store, Google Play, or Microsoft Store.

Credits may be consumed when you use AI models, tools, media-generation services, execution environments, or other chargeable capabilities.

No Subscriptions

The Services do not use auto-renewing subscriptions unless explicitly stated otherwise in the App.

Credit-pack purchases are one-time transactions and do not automatically renew.

Pricing & Credit Values

Prices for credit packs are displayed in the App before purchase.

The number of credits included in a pack and the credit cost of particular models, tools, or services may change from time to time to reflect changes in provider pricing, operating costs, capabilities, or functionality.

Any applicable price or credit allocation will be displayed before a new purchase is completed.

Changes to the cost of future usage do not retroactively alter credits already consumed.

Refunds

Purchases are processed through the applicable platform store. Refund requests may be subject to the applicable platform's refund policies.

Nothing in these Terms limits or excludes any refund, cancellation, guarantee, consumer guarantee, statutory right, or other protection that cannot lawfully be excluded under applicable law.

No Cash Value

Credits have no cash value except where required by applicable law. They cannot be exchanged for cash, transferred between accounts, or redeemed outside the Services.


6. Acceptable Use

You agree not to use the Services to:

We may suspend or terminate access where we reasonably believe an account has violated these Terms, engaged in fraud or abuse, or created a material security or legal risk.

Where required by applicable law, we will provide appropriate notice or remedies.

6A. Safety by Design & Risk Mitigation

TwelveAgents takes reasonable steps, appropriate to the nature of the Services, to reduce foreseeable harm arising from the use of the Services. These steps include:

These measures are safeguards intended to reduce risk; they are not a guarantee that harmful, inaccurate, or otherwise objectionable Output will never be generated or encountered. No content-safety system, whether operated by TwelveAgents or an integrated provider, can identify or prevent all such Output.

This section describes TwelveAgents' approach to identifying and mitigating risk. It supplements, and does not replace, the disclaimers in Section 9 (AI-Generated Content Disclaimer) and Section 18 (Disclaimer of Warranties).

6B. Reporting Harmful or Unlawful Content

If you encounter Output or activity through the Services that you believe is illegal, harmful, unsafe, or otherwise violates these Terms, you may report it to support@twelveagents.ai.

Please include, where possible: the exact prompt submitted, the agent or Agent Brain used, and any other information that would reasonably help us assess the report. Due to the technical limits described in Section 10, TwelveAgents may not be able to retrieve or review a specific chat room or conversation after the fact, so the information you provide in your report may be the primary basis for our review.

We will review reports on a good-faith, reasonable-efforts basis and may take action we consider appropriate, including removing or restricting access to content, disabling tools or agents, or suspending or terminating accounts. We do not guarantee a specific investigation process, response time, or outcome for any report, and submitting a report does not itself entitle the reporting party to a particular remedy.

This reporting mechanism is separate from, and does not replace, the copyright takedown process described in Section 8.


7. Your Content & Ownership

Your Input

You retain ownership of content you submit to the Services, including prompts, uploaded files, images, audio, video, documents, data, and other materials ("Input"), subject to any rights held by third parties.

You represent that you have the necessary rights and permissions to submit your Input and authorize TwelveAgents and the applicable integrated providers to process it as described in these Terms and our Privacy Policy.

Generated Output

Subject to your compliance with these Terms and applicable law, you may use Outputs generated through the Services for personal or commercial purposes.

Because Outputs are generated using AI systems, we do not guarantee that an Output is unique. Similar or identical Outputs may be generated for other users.

You are responsible for reviewing Outputs and ensuring that your use of them complies with applicable law, including intellectual-property, privacy, publicity, copyright, trademark, and other third-party rights.

Where rights in an Output cannot legally be assigned or owned, those rights remain subject to applicable law.

Our License to Process Your Content

By submitting Input to the Services, you grant TwelveAgents a limited, non-exclusive license to access, process, transmit, store, reproduce, modify, and otherwise handle that Input only as reasonably necessary to provide, secure, maintain, operate, and improve the Services you request, in accordance with these Terms and our Privacy Policy.

This includes processing required to route requests to applicable AI models, tools, storage systems, execution environments, media services, search services, and other integrated services used to provide the requested capability.

This license ends when the relevant content is deleted, except where continued retention is reasonably necessary for legal, security, backup, fraud-prevention, dispute-resolution, or other legitimate operational purposes.

Our Intellectual Property

We retain all rights in the Services and our proprietary technology, including our software, interface, design, branding, agent personas, orchestration systems, workflows, prompts, configurations, consistency mechanisms, infrastructure, and related technology, except for integrated provider components and materials.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for lawful personal or commercial purposes in accordance with these Terms.

This license does not permit you to reverse-engineer, decompile, extract, copy, reproduce, or replicate TwelveAgents' proprietary systems, prompts, infrastructure, workflows, or security mechanisms.


8. Copyright & Takedown Notices

We respect intellectual-property rights and expect users of the Services to do the same.

If you believe that content available through the Services infringes your copyright, you may submit a notice to us at support@twelveagents.ai that includes:

We are not obligated to act on any notice and reserve full discretion in evaluating, investigating, or responding to any claim submitted. We do not guarantee any particular response time, investigation process, or outcome.

Upon receipt of a notice we consider valid, we may, at our sole discretion, remove or disable access to the allegedly infringing material and may attempt to notify the user who submitted it, where practicable.

We may, in our sole discretion, suspend or terminate the accounts of users found to have infringed the intellectual-property rights of others, whether on a first instance or repeated basis.

This process does not constitute a guarantee, warranty, or admission of liability by TwelveAgents, and does not create any binding obligation on our part beyond what is required by applicable law. Nothing in this section limits our rights or remedies under Sections 17 through 20 of these Terms.

This process is intended for good-faith copyright claims. Submitting a knowingly false or misleading notice may result in legal liability under applicable law.

We are not a US entity and this process does not itself constitute registration under, or a representation of eligibility for, safe-harbor protections under the U.S. Digital Millennium Copyright Act or any other jurisdiction's copyright framework.


9. AI-Generated Content Disclaimer

AI systems can produce inaccurate, incomplete, biased, outdated, or misleading information, including code, calculations, factual claims, research results, recommendations, and generated media.

Different AI models may produce different results from the same request.

You are responsible for independently reviewing and verifying Outputs before relying on them, particularly for legal, medical, financial, safety-critical, professional, or other high-impact decisions.

TwelveAgents is an AI-assisted software service and is not a substitute for qualified professional advice.


10. Storage & Data Limits

Your account may include cloud storage, active chat-room limits, workflow limits, and other technical limits described in the App or applicable documentation.

Files and other content may be subject to storage quotas, file-size limits, processing limits, duration limits, format restrictions, and provider-specific limitations.

Conversation history: Your conversation history is kept locally in an encrypted database on the device where each chat is stored, allowing the App to load local history efficiently and support applicable offline functionality. A minimal copy of recent chat history may also be retained server-side for cross-device sync and to give agents the context they need to respond; this server-side copy is not a full mirror of your local history. Each account is subject to a maximum number of active chat rooms and a maximum number of messages retained per room for context injection, as described in the App or applicable documentation. Because TwelveAgents does not retain a complete server-side history of every conversation, our ability to retrieve or review the full content of a specific past conversation — including for the purposes of a report submitted under Section 6B — may be limited.

Generated media retention: AI-generated media is retained on TwelveAgents' servers for 7 days from the date of generation, regardless of subscription tier, after which the server copy is automatically deleted. This limit exists mainly to keep recent conversation context manageable, ensuring that media associated with your recent chats stays readily accessible during that period. After 7 days, if you wish to edit, update, or perform any further action on generated media, you will need to re-upload it from your local copy. We recommend downloading any media you wish to keep before it expires — once downloaded, it remains on your device and is unaffected by server-side deletion.

Storage-based media cleanup: If your account's cloud storage usage reaches the 1 GB allowance before the 7-day retention period has elapsed, TwelveAgents may automatically remove media files from your oldest chat rooms to free up space, so that new generation requests are not interrupted. This process removes stored media only — the text-based conversation history of the affected chat rooms is not deleted by this process. We recommend downloading media you wish to keep before your storage usage approaches the limit.

Technical limits may vary by tool, model, provider, media type, and processing operation.

A single agentic workflow may also be subject to a maximum execution/runtime safeguard of approximately 15 minutes.

Individual tools may impose additional limits that are lower or different from the general workflow limits.

Where a request reaches an applicable limit, the Services may stop that operation and indicate the relevant limitation where practical.

Deleting a chat room removes its associated files from active storage and may permanently delete files and generated media associated with that chat. You should maintain your own backups of content that you wish to retain. You can view usage, clear temporary files, or manage chats and media from Settings → Storage.

11. Service Availability & Integrated Service Dependencies

We aim to keep TwelveAgents available and reliable, but we do not guarantee uninterrupted or error-free operation.

The Services depend on integrated AI, cloud, storage, search, execution, authentication, payment, and platform providers.

This includes authentication infrastructure used to create, authenticate, secure, and maintain TwelveAgents accounts, including Amazon Cognito, Sign in with Google, and Sign in with Apple, where configured for the Services.

Provider outages, rate limits, policy changes, model changes, model availability, pricing changes, technical failures, API changes, maintenance, or other events may affect the availability or functionality of particular agents or tools.

Different integrated providers may impose different technical, data-use, retention, geographic, content, or usage restrictions.

We are not responsible for independent acts or omissions of integrated providers that are outside our reasonable control.


12. AI Model Providers, Search & Execution Services

TwelveAgents connects multiple integrated AI models and specialized services to its common orchestration layer.

Depending on the Agent Brain, tools, media capabilities, search functions, or execution environments selected, information may be transmitted to applicable integrated providers, including providers such as OpenAI, Google Cloud / Vertex AI, Amazon Web Services / Amazon Bedrock, ElevenLabs, Stability AI, Runway, Brave Search, E2B, and other providers configured for particular capabilities.

Only information reasonably necessary for the applicable capability is transmitted, subject to the architecture and configuration of the Services.

Integrated providers process information under their own applicable terms, privacy policies, API agreements, security practices, and data-use policies.

TwelveAgents configures available account-level and API-level data-use controls where applicable to the services it uses.

For example, where applicable and supported, TwelveAgents has configured account/API controls intended to disable training use for ElevenLabs and Stability AI services used by the platform.

Provider policies, terms, controls, models, APIs, and service configurations may change over time.

13. Web Search

TwelveAgents may route web searches through integrated search providers, including the Brave Search API.

Search providers may process information necessary to execute a search and may retain certain request information according to their applicable terms and privacy policies.

TwelveAgents does not represent that every search request is automatically subject to zero-data-retention processing.

Where Brave Search API is used, Brave's applicable Search API terms and privacy documentation govern information processed through its service.


14. Code Execution

Some agents may execute code in an isolated integrated execution environment when a task requires it.

Where enabled, code execution may use E2B or another execution infrastructure provider configured for the relevant capability.

Information necessary to execute the requested code may be transmitted to the applicable execution provider. This may include:

Where E2B is used, execution takes place within an isolated Firecracker microVM environment designed to provide a security boundary between code being executed and surrounding infrastructure.

Execution environments are designed to be ephemeral and isolated, subject to the capabilities and configuration of the underlying provider.

This provides an important isolation layer, but no execution environment can guarantee absolute security.

Users should avoid providing highly sensitive information to code-execution environments unless that information is necessary for the requested task.

The applicable execution provider's terms, privacy policy, and security documentation govern information processed by that provider.


15. AI Model Training

TwelveAgents does not use customer data to train TwelveAgents foundation models.

Where an integrated AI provider offers account-level or API-level controls that restrict training or model-improvement use, TwelveAgents uses those controls where available and applicable to the services configured for TwelveAgents.

Where a provider's applicable terms state that API or customer data is not used to train or improve its underlying models, TwelveAgents relies on those applicable terms.

Where a provider's applicable terms permit additional uses of submitted data, including service improvement or model training, TwelveAgents does not make a blanket representation that the provider will never use submitted information for those purposes.

The applicable provider terms and configurations therefore depend on the particular Agent Brain, model, tool, and service used for a request.

Provider policies and configurations may change over time.

For current provider-specific information, users should refer to the applicable provider documentation and the TwelveAgents AI Provider Data & Training Overview.


16. Prompt Protection

TwelveAgents may provide an optional on-device sensitive-data scanning feature known as Prompt Protection.

Where enabled, Prompt Protection may scan content on the device before it is submitted to an AI service in order to identify patterns associated with sensitive information.

Prompt Protection is designed as a safeguard and does not guarantee that all sensitive information will be detected.

You remain responsible for reviewing content before submission.


17. Account Suspension & Termination

You may stop using the Services and delete your account at any time through the available account controls.

We may suspend or terminate access where reasonably necessary because of:

Where appropriate and permitted by law, we may provide notice and an opportunity to remedy the violation.

Upon account deletion, your data will be handled in accordance with our Privacy Policy.

Unused credits may be forfeited following account termination, except where otherwise required by applicable law or applicable platform policies.


18. Disclaimer of Warranties

To the maximum extent permitted by applicable law, TwelveAgents is provided on an "as is" and "as available" basis.

We do not warrant that the Services will always be available, uninterrupted, error-free, secure, or suitable for every particular purpose, or that any Output will be accurate, complete, unique, or meet your expectations.

We do not guarantee the availability, performance, accuracy, continuity, or future availability of any particular integrated model, provider, tool, or service.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, statutory right, or other protection that cannot lawfully be excluded, restricted, or modified.


19. Limitation of Liability

To the maximum extent permitted by applicable law, TwelveAgents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses, or loss of profits, revenue, business opportunities, goodwill, or data arising from your use of the Services.

To the maximum extent permitted by applicable law, our aggregate liability for claims arising out of or relating to these Terms or the Services will be limited to the amount you paid to TwelveAgents for the Services during the 12 months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited under applicable law.


20. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify and hold TwelveAgents harmless from claims, liabilities, damages, losses, and reasonable expenses arising from:

This section does not apply to the extent that a claim results from TwelveAgents' own unlawful conduct or liability that cannot legally be excluded.


21. Force Majeure

We will not be liable for any failure or delay in performing our obligations under these Terms where that failure or delay results from causes beyond our reasonable control, including natural disasters, acts of government, war, civil unrest, terrorism, labor disputes, internet or telecommunications failures, power outages, or outages, failures, policy changes, or discontinuation of services by integrated AI, cloud, payment, authentication, or platform providers.


22. Export Control & Sanctions Compliance

The Services may be subject to applicable export control and economic sanctions laws and regulations.

You may not access or use the Services if you are located in, ordinarily resident in, or a national of a country or region subject to comprehensive trade sanctions, or if you are listed on any applicable restricted-party, denied-persons, or sanctions list maintained by a competent governmental authority.

You agree to comply with all applicable export control and sanctions laws and regulations in connection with your access to and use of the Services, and not to use the Services to export, re-export, or transfer any content or capability in violation of such laws.


23. Changes to These Terms

We may update these Terms from time to time.

Material changes will be reflected by updating the Effective Date and, where required by applicable law, providing additional notice.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.


24. Governing Law & Dispute Resolution

These Terms, and any dispute arising out of or relating to these Terms or the Services, are governed by the laws of Singapore, without regard to its conflict-of-law principles, except to the extent that mandatory consumer-protection laws in your jurisdiction provide otherwise.

Before commencing formal proceedings, you agree to first contact us at support@twelveagents.ai and make a reasonable, good-faith effort to resolve the dispute informally.

Where permitted by applicable law, any dispute that cannot be resolved informally will be resolved by binding arbitration on an individual basis rather than in court, except that either party may bring an individual claim in small-claims court where eligible. You and TwelveAgents each agree that any arbitration or proceeding will be conducted only on an individual basis and not as a class, consolidated, or representative action, and each waive any right to participate in a class or representative proceeding to the extent permitted by applicable law.

Nothing in this section prevents you from exercising rights or bringing claims that cannot legally be waived, including rights available under applicable consumer-protection law.


25. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified or limited to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.


26. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices we publish on the Services, constitute the entire agreement between you and TwelveAgents regarding your use of the Services, and supersede any prior or contemporaneous agreements, communications, or understandings, whether written or oral, relating to their subject matter.


27. No Waiver & Assignment

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

We may assign or transfer these Terms in connection with a merger, acquisition, restructuring, sale of assets, or transfer of the TwelveAgents business.

You may not assign your rights or obligations under these Terms without our prior written consent, except where such restriction is prohibited by applicable law.


28. Survival

Provisions concerning Eligibility, Acceptable Use, Safety by Design & Risk Mitigation, Reporting Harmful or Unlawful Content, Content & Ownership, Copyright & Takedown Notices, Intellectual Property, Our Role as an AI Orchestrator, AI-Generated Content Disclaimer, Integrated Services, Disclaimer of Warranties, Limitation of Liability, Indemnification, Force Majeure, Export Control & Sanctions Compliance, Governing Law, and any other provisions that by their nature should survive termination will continue after termination of your account or these Terms.
